By accessing or using Solid# ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

Solid# provides payment processing, e-commerce tools, AI-powered integrations, and related services. We reserve the right to modify, suspend, or discontinue any part of the Service at any time.

3. Account Registration

To use our Service, you must:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be at least 18 years old or have parental consent
• Comply with all applicable laws and regulations

4. Payment Processing

When using Solid# for payment processing:

• You authorize us to process payments on your behalf
• Transaction fees apply as outlined in your pricing plan
• Chargebacks and disputes are handled according to card network rules
• We may hold funds in reserve for risk management purposes
• Payout schedules vary based on your account type and history

5. Prohibited Activities

You may not use Solid# to:

• Process payments for illegal goods or services
• Engage in fraudulent or deceptive practices
• Violate any laws, regulations, or third-party rights
• Attempt to circumvent security measures
• Resell or redistribute our services without authorization
• Process transactions for high-risk industries without approval

6. Intellectual Property

All content, features, and functionality of Solid# are owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of our Service.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We collect, use, and protect your data as described in that policy.

8. API Usage

When using our API:

• You must comply with our API documentation and guidelines
• Rate limits and usage quotas apply based on your plan
• You are responsible for securing your API keys
• We may throttle or block abusive API usage

9. Fees, Billing, and Automatic Payments

You agree to pay all fees associated with your use of Solid#. By subscribing to our services, you authorize the following:

• Automatic Billing: You authorize Solid# to automatically charge your payment method on file for subscription fees, usage-based charges, and any overages according to your billing cycle (monthly or annual).
• Recurring Payments: Subscriptions automatically renew unless cancelled at least 7 days before your renewal date. You authorize recurring charges until you cancel.
• Payment Method Updates: If your payment method fails, you authorize us to retry the charge and update payment details as provided by your card issuer.
• Prorated Charges: Upgrades are charged immediately on a prorated basis; downgrades take effect at the next billing cycle.
• Overages: Usage exceeding your plan limits (AI tokens, voice minutes, SMS, etc.) will be automatically billed at the rates specified in your plan.

Fees are charged according to your selected pricing plan. We reserve the right to change our fees with 30 days' notice. Failure to pay may result in service suspension or termination after 7 days' written notice.

10. Voice and Phone Services

If you subscribe to voice or phone services (Basic, Professional, Business, or Enterprise plans):

• Phone Number Provisioning: We provision dedicated phone numbers through our telecommunications partners. Numbers remain our property and are licensed to you during your subscription.
• Usage Limits: Each voice plan includes a monthly minute and SMS allocation. Usage exceeding your plan is billed at the overage rate specified in your plan details.
• SMS Services: Each phone plan includes a monthly SMS allocation. Customers without a phone plan may use our shared messaging service with a 50 message/month limit.
• AI Voice Features: AI-powered call handling is subject to acceptable use policies. You are responsible for disclosing AI usage to callers where required by law.
• Call Recording: Call recording features require compliance with applicable consent laws. You are responsible for obtaining necessary consents.
• Number Portability: You may port your number to another carrier upon termination, subject to carrier policies and fees.

11. Termination

We may terminate or suspend your account at any time for violations of these Terms, suspicious activity, or legal requirements. You may cancel your account at any time through your account settings. Upon termination, your right to use the Service ceases immediately.

12. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS.

13. Indemnification

You agree to indemnify and hold Solid# harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

14. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to a jury trial or to participate in class actions.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the new Terms.
